Why was my filing rejected?
Common rejection reasons (name conflict, address issues, missing fees) and how FormifyAI auto-detects and fixes them before resubmission.
If your filing was rejected, don't panic — most rejections are mechanical and fixable in minutes. We re-file at no extra subscription cost. State filing fees are charged again only if the state requires it.
Common reasons
Name conflict
Another entity has a sufficiently similar name in the same state. We run availability checks at submission, but states can interpret similarity differently. Fix: pick a slightly different name, add a distinctive word, or change the entity-type designator (LLC → L.L.C.).
Registered agent address issue
PO boxes are rejected by every state for registered agent addresses — must be a physical street. Fix: switch to FormifyAI's registered agent (Pro/Business plans) or provide a verified street address.
Insufficient fees
State fee schedules change occasionally. If a fee mismatches, we automatically catch and resubmit with the correct amount.
Missing or invalid signatures
Some states require an organizer signature in a specific format. Fix: re-sign in the dashboard — we re-generate the document and resubmit.
When a filing is rejected, you'll see the rejection reason on the order detail page along with a one-click 'Fix and resubmit' action. We email you the moment a rejection lands.
